In Hong Kong, all limited companies require a company secretary who must either be a natural person or a corporation resides or registered in Hong Kong.  This role takes the responsibility for ensuring compliance with statutory and regulatory requirements and for ensure that decisions of the board of directors are documented and implemented.  For example, filing of an annual return is required by the HK Companies Registry annually.
